1. Introduction

Welcome to RACON Global Solutions. These Terms and Conditions (“Terms”) govern all engagements, services, contracts, procurement activities, partnerships, and interactions with RACON Global Solutions (“RACON Global,” “the Company,” “we,” “our,” or “us”).

By accessing our services, entering into agreements, or engaging in any form of business relationship with RACON Global Solutions, you agree to comply with and be legally bound by these Terms.

RACON Global Solutions provides multidisciplinary services, including but not limited to:

• Defense and aerospace procurement

• Project management and technical consulting

• Integrated logistics and supply chain services

• Cybersecurity and tactical systems integration

• Aviation systems and unmanned aerial technologies

• Strategic advisory and defense policy consulting

• Manufacturing, assembly, and representation services

All services are subject to separate contractual agreements, proposals, or memoranda of understanding where applicable.

3. Compliance with Laws and Regulations

RACON Global Solutions operates in strict compliance with:

• International export control regulations

• Defense trade and arms control laws

• Anti-corruption and anti-bribery regulations

• Sanctions and trade compliance frameworks

• Applicable local and international security regulations

Clients, partners, and stakeholders agree to comply with all relevant laws governing defense procurement, technology transfer, and security operations. RACON reserves the right to decline or terminate engagements that conflict with legal or regulatory requirements.

4. Confidentiality and Security

Given the sensitive nature of defense and security operations:

• All proprietary, classified, or restricted information shared during engagements shall remain strictly confidential.

• Both parties agree to implement appropriate safeguards to protect classified or sensitive data.

• Information may not be disclosed to third parties without prior written consent, except where required by law.

Non-Disclosure Agreements (NDAs) may be required before initiating specific discussions or transactions.

5. Intellectual Property

All intellectual property developed, designed, or delivered by RACON Global Solutions, including but not limited to:

• Technical documentation

• Engineering designs

• Software systems

• Cybersecurity frameworks

• R&D innovations

shall remain the property of RACON Global Solutions unless otherwise stated in a formal agreement.

Unauthorized reproduction, distribution, or modification is strictly prohibited.

6. Contractual Engagement and Payment Terms

All procurement, consulting, logistics, or technology services are subject to:

• Signed contractual agreements

• Defined payment schedules

• Agreed delivery milestones

• Project-specific terms

Failure to meet payment obligations may result in suspension or termination of services.

7. Risk and Liability

Due to the nature of defense and security operations:

• RACON Global Solutions shall not be liable for indirect, incidental, or consequential damages arising from operational deployment.

• Liability limitations will be governed by individual project agreements.

• Clients assume responsibility for lawful deployment and usage of supplied systems and technologies.

8. Force Majeure

RACON Global Solutions shall not be held liable for delays or failure to perform obligations due to circumstances beyond reasonable control, including but not limited to:

• Government restrictions

• Armed conflict

• Natural disasters

• Trade embargoes

• Supply chain disruptions

9. Ethical Standards and Corporate Responsibility

RACON Global Solutions is committed to:

• Ethical procurement practices

• Transparent dealings

• Anti-corruption compliance

• Respect for international humanitarian standards

Any partner found engaging in unethical or unlawful conduct may have their engagement immediately terminated.

10. Termination

Either party may terminate an agreement in accordance with contractual provisions. RACON Global Solutions reserves the right to terminate engagements where:

• Regulatory violations occur

• Payment obligations are not met

• National or international security concerns arise

11. Governing Law and Jurisdiction

These Terms and all related agreements shall be governed by the applicable laws of the jurisdiction specified in the signed contract or principal place of operation, unless otherwise agreed in writing.

12. Amendments

RACON Global Solutions reserves the right to update or amend these Terms and Conditions at any time. Updated versions will supersede prior versions and become effective upon publication or formal notification.
